Partner Terms (B2B)

1. The basics (who are we, who are you)
- Lookster. We are Lookster, 94593051, located at Piet Heinstraat 12, 7511JE Enschede ("Lookster", "we", "us", "our").
- Partner. You are a business owner (e.g. salon, spa, hairdresser or similar service provider) who accepts these Partner Terms to use the Services ("Partner", "you", "your"). You act in the exercise of a profession or business.
- Customers. "Customer" means any natural person who (directly or indirectly) makes an appointment with you via the Platform.
- Documents that together form the agreement. These Partner Terms ("Terms"), together with:
- Appendix A (Rates & Licenses),
- any order/registration confirmation or additional agreements in the Platform, and
- the Data Processing Agreement (DPA), where applicable,
2. Definitions
- "Platform": the Lookster website(s), the business dashboard and related systems, and the Lookster App(s).
- "Salon Software" or "Dashboard": the software environment (SaaS) through which Partner manages its calendar, appointments, customer data and employees, among other things.
- "Marketplace": the (online) environment in which your services can be visible to Customers and where Customers (depending on functionality) can request/book appointments.
- "Partner page": your (sub)page within Lookster, for example via a Lookster URL such as https://lookster.nl/customer/[salonnaam] (or any other URL structure provided by Lookster).
- "Employee" or "Seat": an individual login/access for one natural person (e.g. owner/employee) within the Dashboard.
- "Trial period": the first three (3) months from the moment your account was created.
- "Fees": the amounts that Partner owes Lookster for use of the Services (see Appendix A).
3. The Services (what Lookster provides)
- Overview. Lookster can provide the following services, among others:
- Salon software/Dashboard (agenda, appointment management, customer management, statistics and other functionalities);
- Marketplace & Partner page (online visibility and booking options);
- Integrations with third parties (where available), such as maps/information platforms (e.g. Google/Apple Maps) or other distribution channels.
- Changes/further development. Lookster may change, improve or (partly) terminate the Services and functionalities. Lookster will make reasonable efforts to communicate material changes that significantly affect normal use in a timely manner via the Platform or by e-mail.
- Support. Lookster offers support on a "best effort" basis via:

- Lookster may change opening hours and channels.
- Availability and "as is". The Services are provided on an "as is" and "as available" basis. Lookster does not warrant that the Services will be uninterrupted, error-free or always available. Lookster is not liable for temporary disruptions, maintenance or (temporary) unavailability, unless there is intent or deliberate recklessness or insofar as mandatory law provides otherwise.
4. Open registration model, (limited) verification and Partner responsibility
- Open registration. Lookster uses (in principle) an open registration model: entrepreneurs can register to use the Services and/or become visible on the Marketplace.
- Limited verification. Lookster may perform limited checks upon registration, such as verification of (i) address, (ii) email address and (iii) telephone number. These checks do not constitute a complete verification or "seal of approval".
- No systematic Chamber of Commerce/permit check. Lookster is not obliged to (and does not necessarily carry out) any systematic verification of Partners or Partner information, including Chamber of Commerce registration, VAT registration, permits, qualifications or insurance.
- Own responsibility. Partner is fully and independently responsible for:
- Chamber of Commerce/VAT registration (if applicable);
- licensing, qualifications and insurance;
- compliance with all applicable laws, regulations and professional standards;
- correct, complete and non-misleading information on the Platform;
- providing services to Customers safely and professionally.
- No quality mark. Visibility on Lookster does not mean that Lookster has certified or approved Partner.
- Measures. Lookster may (without obligation) request additional information and (temporarily) limit, suspend or remove Partners in the event of complaints, fraud/deception, unlawfulness, security or reputation risks.
5. License and usage rules (Dashboard / Seats)
- License. Lookster grants Partner a revocable, non-exclusive, non-transferable license to use the Salon Software during the term of the Agreement, for internal business operations.
- Seats are assigned to individuals. A Seat is intended for one natural person. Login details may not be shared. Partner is responsible for all actions via its Seats.
- Administrative access. Lookster (or its suppliers) may have administrative access to the Salon software for maintenance, support, security and further development. This is only done for legitimate purposes and with appropriate security measures.
6. Intellectual Property and Use Restrictions
- Owned by Lookster. All intellectual property rights on and in the Platform, the Salon Software/Dashboard, the Marketplace, the Partner Page and the associated documentation, designs, databases, (source) code and other materials belong to Lookster and/or its licensors. Nothing in this Agreement transfers any such rights to Partner.
- Limited license. Partner is granted only the right to use the Services in accordance with these Terms during the term of the Agreement.
- Prohibited actions. Partner will not (and will not allow third parties to):
- copy, reproduce, publish or distribute the Services, software or parts thereof, except to the extent strictly necessary for normal use;
- reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, except to the extent that mandatory law expressly permits this;
- circumvent security or access measures;
- use the Services to develop or offer a competitive product or service based on or derived from the Services;
- sublicense, rent, sell or otherwise make available any rights to the Services to third parties, except as permitted by Lookster in writing.
- Feedback. If Partner provides suggestions, ideas or feedback about the Services, Lookster may use them freely to improve the Services, without any obligation to compensate Partner.
7. Marketplace, bookings and partner obligations towards customers
- Bookings. Customers can make appointments with Partner via the Platform (Website/App/Partner page) and via any distribution channels that Lookster uses.
- Contract with the Customer. The agreement for the actual service is concluded between Partner and Customer. Partner remains fully responsible for performance, quality, safety, hygiene, legal compliance and customer service.
- Availability and accuracy. Partner ensures that availability, services, duration, prices and other information in the Platform are current and correct.
- Cancellation Policy. Partner determines its cancellation and change policy, but must:
- communicate clearly to Customers, and
- where possible, include/enter it in the Platform so that Customers can see this in/for the booking flow.
- If Partner fails to do so and Lookster must (legally or reasonably) compensate a Customer as a result, Lookster may recover those costs from Partner (to the extent appropriate and demonstrable).
- No off-platform redirection. Partner will not encourage Customers to book appointments outside of Lookster, and will not ask Customers to cancel and then rebook directly with Partner.
- Reviews. Customers can post reviews. Partner may respond within the guidelines established by Lookster. Lookster may moderate, adjust or remove reviews or responses in the event of abuse/unlawfulness. Partner may only approach Customers about reviews via the review platform, and not in other ways.
- Partner content (portfolio, photos, logos) – license and warranties
- Partner content. Partner may provide or post content via the Platform, including (but not limited to) salon information, prices, treatments, opening hours, (portfolio) photos, videos, logos, trade names, descriptions and other materials ("Partner Content").
- License to Lookster. Partner grants Lookster a non-exclusive, worldwide, royalty-free, transferable (to affiliates) and sublicensable license to use, host, store, reproduce, publish, translate, edit (e.g. resize/crop/layout), distribute and disclose Partner Content:
- on the Platform (including the Partner Page, App and Marketplace);
- through Lookster distribution channels (if used);
- for promotion and marketing of Lookster and/or Partner's services (e.g. in advertisements, social media, newsletters and presentations), for the duration of the Agreement and for a reasonable settlement period thereafter (e.g. for phasing out campaigns and cache/archives).
- Partner warranties. Partner guarantees that:
- Partner has all necessary rights and permissions to provide Partner Content to Lookster and to grant the license in this section.
- Partner content does not infringe the rights of third parties (including copyrights, trademark rights and portrait rights);
- if persons are recognizable in the image (portfolio photos/videos), Partner has valid permission/basis for publication and use for marketing purposes via Lookster (including portrait rights permission where required);
- Partner content is accurate, complete and not misleading.
- Remove or modify. Lookster may (temporarily) refuse, hide, modify or remove Partner Content if this is reasonably necessary (e.g. in the event of complaints, (suspected) infringement, deception, unlawfulness, or reputation/security risk).
8. Fees, Billing and Payment
- Fees. Partner pays the Fees as stated in Appendix A.
- Trial period. The Services are free of charge during the Trial Period, unless otherwise stated in Appendix A or the Platform. After the Trial Period, payments will start automatically, unless Partner cancels in time (see article 11).
- Billing. Lookster invoices in advance per month. Payment term is fourteen (14) days after the invoice date.
- Late payment. In the event of late payment, Lookster may, after a reasonable payment reminder, suspend access to (parts of) the Services until all outstanding amounts have been paid. Partner remains liable for payment during suspension.
- Price changes. Lookster may change Fees with at least 30 days' prior notice. Continued use after the effective date constitutes acceptance.
9. Commission and future changes
- No commission now. Lookster currently does not charge any commission/percentage on bookings via the Marketplace.
- Future-proof. Lookster may introduce a commission model or other booking-related fees in the future. In that case:
- Lookster will announce this at least 30 days in advance; and
- the rates will be set out in an updated Appendix A and/or amended Terms.
10. Customer payments (only if activated)
- Current situation. Unless expressly activated in the Platform, Lookster does not facilitate online payments between Customer and Partner.
- Payment Module. If Lookster activates a payment module for Partner, additional conditions may apply, including conditions of a payment provider (e.g. Mollie) and procedures for refunds/chargebacks/fraud prevention. Partner may be required to create a (connected) account and provide company information.
- Agent for payments (conditional). Only if the Payment Module is active, Lookster (or its payment provider) can process payments on behalf of Partner as a payment agent. Partner remains responsible for the service and for customer claims regarding the service.
11. Term, termination and data
- Duration. The Agreement starts upon digital acceptance/creation of the Partner Account and continues until terminated.
- Termination (monthly). Partner may terminate monthly with effect from the end of the current billing month/period. Notice may be given via the Platform or in writing to Lookster.
- Termination for cause. Lookster may terminate the Agreement immediately in the event of serious shortcomings, fraud, structural deception, illegal activities, serious complaints/security risks, or failure to pay despite a reminder.
- Consequences of termination. Upon termination, access to the Services will cease. Partner may export data prior to termination. Lookster may facilitate limited export (e.g. CSV) to the extent reasonably possible.
- Data retention. Lookster applies retention periods in accordance with legislation and/or the DPA. Afterwards, data can be deleted or anonymized, unless legal retention obligations apply.
- Suspension
- Lookster may temporarily suspend Partner's access to (parts of) the Services with immediate effect if:
- Partner acts in violation of these Terms and Conditions;
- there is a reasonable suspicion of fraud, abuse, security incidents or unlawful use;
- suspension is necessary to prevent or limit damage to Lookster, Customers, other partners or the Platform;
- Partner does not pay on time despite reminder.
Suspension does not affect Partner's payment obligations, unless Lookster confirms otherwise in writing.
12. Liability and Indemnification
- Partner remains responsible. Partner is fully responsible for the performance of its services to Customers.
- Limitation. Lookster's total liability is limited to the total Fees paid by Partner to Lookster in the twelve (12) months prior to the event giving rise to the claim, unless mandatory law provides otherwise.
- No indirect or consequential loss. Lookster is not liable for indirect/consequential damage (such as loss of profit, lost turnover, loss of goodwill or data), except for intent/deliberate recklessness. This also applies to losses arising due to defects in the Chamber of Commerce data, permits, insurance or other registrations provided by Partner.
- No exclusion where prohibited. Nothing excludes liability that may not be excluded by law.
- Indemnification by Partner. Partner indemnifies Lookster against claims, fines, damages and costs (including reasonable legal costs) arising from:
- violation of laws and regulations by Partner;
- absence/inaccuracy of Chamber of Commerce/VAT/permits/insurance/qualifications;
- incorrect/misleading Partner Content;
- customer claims about the services provided by Partner.
13. Privacy and data protection (GDPR)
- Roles. As a rule, Partner is the controller of Customers' personal data. Lookster generally processes personal data in the Salon Software as a processor on behalf of Partner.
- DPA. If and to the extent that Lookster acts as a processor, the parties will conclude a Data Processing Agreement (DPA). Partner agrees that use of the Salon Software may require acceptance of a DPA.
- Security and data breaches. The Parties shall implement appropriate technical and organizational measures. Partner shall notify Lookster without delay of any (suspected) personal data breach or unauthorized access relating to the Platform.
14. Other provisions
- Confidentiality. The parties will keep confidential information secret and will only use it for the execution of the Agreement.
- Amendments to the Terms. Lookster may change these Terms. Lookster announces significant changes in advance.
- Applicable law. Dutch law applies. Disputes will be submitted to the competent court in the Netherlands, unless mandatory law provides otherwise.
- Notifications. Unless these Terms provide otherwise, notices and communications under the Agreement may be given in writing by email. An email is considered received on the next working day after sending, unless the sender receives an error message (bounce). Parties are responsible for keeping their contact details up to date.
- Appendices, versions and order of precedence
- Appendix A (Rates & Licenses) and the DPA (Data Processing Agreement) are an integral part of the Agreement.
- The version of the Appendices that applies is the version that Partner accepted upon registration or upon subsequent (re)acceptance.
- In the event of a conflict between the main text of these Terms and Conditions and Appendix A, Appendix A applies to the extent the conflict relates to rates, invoicing and licenses. In the event of any conflict regarding data protection, the DPA shall prevail.
